Healthy Active: Terms & Conditions of Service
1. General Overview
These Terms and Conditions apply to all services provided by Healthy Active (the “Provider”), including but not limited to Online Webinars, Face-to-Face Workshops, Consultancy, and the licensing of the Ready, Steady, Go (RSG) framework. By booking a service, the Client (the “Organization”) agrees to these terms.
2. Booking & Confirmation
- Webinars/Workshops: Bookings are officially confirmed only upon the completion and submission of the Online Booking Form via the Healthy Active website. By submitting this form, the Client accepts these Terms and Conditions in full.
- Confirmation of Dates: Upon submission, a confirmation email will be issued by the Provider. The date is not secured in the Healthy Active calendar until this digital submission is received.
- Consultancy: Long-term projects (e.g., School Pilot Programs) require a signed Service Agreement before commencement.
3. Payment Terms
- Invoicing: Invoices are issued upon booking confirmation unless otherwise agreed.
- Payment Window: All invoices must be settled within 14 days of the invoice date.
- Late Payments: Healthy Active reserves the right to charge interest on overdue accounts at a rate of 8% above the Bank of England base rate.
- Consultancy Retainers: For projects exceeding £2,000, a 25% deposit is required to secure the dates.
4. Cancellation & Rescheduling
- Client Cancellation:
- More than 14 days’ notice: No fee (any deposits paid are non-refundable).
- 7–14 days’ notice: 50% of the total fee is payable.
- Less than 7 days’ notice: 100% of the total fee is payable.
- Rescheduling: One reschedule is permitted per booking without penalty, provided at least 7 days’ notice is given.
- Provider Cancellation: In the unlikely event Healthy Active must cancel, a full refund or immediate reschedule will be offered. Healthy Active is not liable for any secondary costs (e.g., facility hire).
5. Intellectual Property (IP)
- All materials provided remain the exclusive property of Healthy Active.
- License to Use: Clients are granted a limited license to use materials for their internal organization only. Materials must not be copied, resold, or distributed to third parties without express written consent from the Provider.
- Recording: Online webinars may not be recorded by the Client without prior written permission.
6. Safeguarding & Professional Standards
- All delivery adheres to the Healthy Active Safeguarding & Child Protection Policy.
- The Provider maintains an Enhanced DBS check and appropriate Public Liability/Professional Indemnity insurance.
- The Client is responsible for ensuring a safe environment for face-to-face workshops, including first aid provision and appropriate participant supervision.
7. Limitation of Liability
While Healthy Active provides evidence-based strategies, the implementation of these exercises is at the participant’s own risk. Healthy Active is not liable for injuries sustained during the independent application of these protocols by the Client or their staff.
